Terms and Conditions
1. Scope and Parties
These Terms and Conditions ("Terms") govern the purchase, sale, and delivery of Zellaforte-brand dietary supplements through the online store at zellaforte.de.
1.1 Seller and Contract Party
Your contract of sale is concluded exclusively with, and the seller of the goods is:

OmniMed Global B.V. ("we," "us," "our") operates the online store, concludes the sales contract with you, issues the invoice, receives payment, ships the goods, and is your point of contact for the statutory right of withdrawal, returns, and warranty.
1.2 Brand Owner and Manufacturer
The Zellaforte brand and the products are developed and owned by Anstalt für Zellforschung, Zollstraße 34, FL-9490 Vaduz, Liechtenstein, which acts as brand owner and manufacturer, supplies the products to OmniMed Global B.V. on a business-to-business basis, and licenses the "Zellaforte" trademark to OmniMed Global B.V. for the operation of this online store. Anstalt für Zellforschung is not a party to your sales contract and has no contractual relationship with you as the customer.
1.3 Pharmacy Channel (separate seller)
Zellaforte products are also available through licensed pharmacies in Germany, supplied by adequapharm GmbH, Egellsstraße 21, 13507 Berlin. For any product purchased through a pharmacy, the pharmacy is the independent seller and is solely responsible for pricing, delivery, returns, warranty, and customer service. These Terms do not apply to pharmacy purchases, and neither OmniMed Global B.V. nor Anstalt für Zellforschung is responsible for them. Please direct pharmacy inquiries to the respective pharmacy.
1.4 Applicability
These Terms apply exclusively to purchases made through the Zellaforte online store at zellaforte.de. Any deviations require our written confirmation. The version of these Terms in force at the time you place your order applies to that order.
1.5 Consumer Rights Notice
Nothing in these Terms restricts or excludes any mandatory statutory rights you have as a consumer. Where these Terms conflict with mandatory consumer-protection law applicable to you — including EU Directive 2011/83/EU (Consumer Rights) and the mandatory law of your country of residence — that mandatory law prevails.
2. Contract Formation
2.1 Offer and Acceptance
The product descriptions, prices, and availability shown on zellaforte.de are an invitation to treat, not a binding offer. Placing an order through the checkout constitutes your binding offer to purchase the products in your cart.
Order with obligation to pay: By clicking the "Complete Purchase" (or equivalent) button, you place a binding order that obliges you to pay ("zahlungspflichtig bestellen"), in accordance with Article 8(2) of Directive 2011/83/EU and § 312j German Civil Code (BGB).
2.2 Order Confirmation
An automated acknowledgment of receipt does not constitute acceptance of your offer. The sales contract is concluded when we send you a separate order confirmation or dispatch confirmation email, or when we dispatch the goods.
2.3 Right to Refuse Orders
We may refuse an order if the product is unavailable, the order violates applicable law or these Terms, there is a substantiated history of payment default or chargebacks, or delivery to your address is not possible. Any payment already received will be refunded in full without undue delay.
3. Prices and Payment
3.1 Currency and Pricing
All prices are shown in EUR and include the applicable value-added tax (VAT). The price you pay is the price displayed in your cart at the time you place your order.
3.2 Shipping and Additional Costs
Shipping costs are calculated and displayed at checkout before you complete your purchase. Any customs duties or import taxes for deliveries outside the EU are your responsibility and are not included in the displayed price.
3.3 Accepted Payment Methods
We accept the payment methods offered at checkout, which may include credit and debit cards, digital wallets (Apple Pay, Google Pay), and other gateways. Payments are processed through Shopify Payments (powered by Stripe), PayPal, and Klarna, each operating under its own terms and privacy policy. Depending on availability at checkout, we may also offer Cash on Delivery (COD) or bank transfer (Bank Deposit) for certain orders or destinations; any additional fee for these methods is shown at checkout before you complete your purchase. Payments for your order are made to OmniMed Global B.V. as the seller and are processed by OmniMed Global B.V. and its payment processors; by providing payment details you authorize the charge for your order.
3.4 Payment Terms
Payment is due upon order placement. Your order is processed and shipped once payment has been received and verified.
4. Shipping and Delivery
We ship to the EU/EEA, Switzerland, and the United Kingdom. Orders are processed within 1–2 business days. Estimated delivery: 2–4 business days (Germany), 5–10 business days (other EU/EEA, Switzerland, United Kingdom); deliveries to Switzerland and the United Kingdom may take longer due to customs clearance and may be subject to customs duties, import VAT, or other fees charged by the destination country, which are your responsibility and not included in the displayed price. Shipping costs are displayed at checkout. For consumers, the risk of loss or damage passes to you only when you (or a carrier designated by you, other than one we offered) take physical possession of the goods. 5. Right of Withdrawal and Returns
As a consumer, you have a statutory 14-day right of withdrawal under Directive 2011/83/EU, in addition to our voluntary 30-day return policy. The two are separate: the voluntary 30-day return is a goodwill offer that does not restrict or replace your statutory withdrawal right. Sealed goods that are not suitable for return for health-protection or hygiene reasons and were unsealed after delivery are excluded from the statutory withdrawal right. 6. Warranty and Liability
6.1 Statutory Warranty of Conformity
Products are subject to the statutory warranty of conformity. For a period of 2 years from delivery, we are liable if the goods do not conform to the contract. Where goods are defective or non-conforming, you may claim repair, replacement, a proportionate price reduction, or termination of the contract with a refund, in accordance with applicable law.
6.2 How to Claim
To claim, contact support@zellaforte.de with a description of the defect and your proof of purchase. We will assess the claim and provide an appropriate remedy.
6.3 Limitation of Liability
We are fully liable, without limitation, for damages arising from injury to life, body, or health, for damages caused by intent or gross negligence, and to the extent liability is mandatory under applicable law (including statutory warranty and product-liability law — see § 6.4).
For slight (ordinary) negligence, we are liable only for breach of a material contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible and on whose observance you may reasonably rely), and such liability is limited to the foreseeable damage typical for this type of contract. Any liability beyond this — in particular for indirect or consequential damage, lost profits, or loss of data caused by slight negligence — is excluded to the extent permitted by law.
6.4 Mandatory Liability Preserved (savings clause)
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited. In particular, nothing here affects our liability for death or personal injury, for intent or gross negligence, under mandatory statutory warranty, or under mandatory product-liability law (EU Directive 85/374/EEC and Regulation (EU) 2024/2853; in the Netherlands, Book 6, Article 185 of the Dutch Civil Code; in Germany, the Produkthaftungsgesetz), nor your mandatory rights under the consumer-protection law of your country of residence.
7. Product Information and Disclaimer
7.1 Classification
Zellaforte products are dietary supplements. They are not medicines and are not intended to diagnose, treat, cure, mitigate, or prevent any disease.
Mandatory notice (Directive 2002/46/EC): Food supplements are not a substitute for a varied and balanced diet and a healthy lifestyle. Do not exceed the stated recommended daily dose. Keep out of reach of children.
7.2 Descriptions and Claims
Product descriptions, ingredient lists, and nutritional information are provided based on information available at the time of publication. We take care to keep this information accurate but do not warrant that it is at all times complete or error-free.
7.3 Use of Products
Dietary supplements are intended to supplement the diet. If you are pregnant or nursing, have a medical condition, take medication, are allergic to any ingredient, or are under 18, please consult a qualified healthcare professional before use.
7.4 Regulatory Compliance
Products comply with applicable EU food and supplement law, including Regulation (EC) 1925/2006, Regulation (EU) 1169/2011 (food information), and Regulation (EC) 1924/2006 (nutrition and health claims).
8. Health Acknowledgment
By purchasing Zellaforte products, you acknowledge that dietary supplements may not be suitable for everyone, that you have had the opportunity to read the product information, ingredient and allergen lists, and usage instructions on our website and labels, and that you are responsible for checking whether a product is suitable for your individual circumstances, in particular if you fall into one of the risk groups in § 7.3. If you buy a product for another person, please ensure they receive the product information, allergen content, and usage instructions.
This section is an informational acknowledgment only. It does not waive or limit any of your statutory rights and does not exclude or limit our liability for defective products, for personal injury, or as otherwise set out in § 6.4.
9. Intellectual Property
9.1 Ownership
All content on zellaforte.de — text, images, logos, product designs, photographs, and graphics — is the intellectual property of Anstalt für Zellforschung or its licensors and is protected by copyright and trademark law.
9.2 Licence to You
We grant you a limited, non-exclusive, non-transferable licence to view the content for personal, non-commercial use. You may not reproduce, distribute, or transmit content without written permission; use our trademarks or brand names without authorization; create derivative works from our content; or use automated tools to scrape or extract data.
9.3 Trademarks
"Zellaforte" and associated logos and designs are trademarks owned by Anstalt für Zellforschung and licensed to OmniMed Global B.V. for the operation of this online store. Use without express written permission is prohibited.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms and your contract of sale are governed by the laws of the Netherlands, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). This choice of law does not deprive you, as a consumer, of the protection afforded by mandatory provisions of the law of your country of habitual residence.
10.2 Jurisdiction
As a consumer residing in the EU/EEA, you may bring proceedings against us in the courts of your country of residence, and we may bring proceedings against you only in the courts of your country of residence.
10.3 Voluntary Dispute Resolution
We would prefer to resolve any dispute directly. Please contact support@zellaforte.de first; we aim to respond within 14 days. Where a dispute cannot be resolved directly, both parties may — but are not obliged to — attempt resolution through mediation before going to court. Nothing in this section requires you to attempt mediation before, or prevents you from, bringing court proceedings at any time, and nothing limits your right to complain to a consumer-protection authority.
Note: the EU Online Dispute Resolution (ODR) platform has been discontinued and is no longer available for new consumer complaints. We are not obliged, and do not undertake, to participate in dispute-resolution proceedings before a consumer arbitration board, but you may contact the competent consumer authority or arbitration body in your country of residence.
11. Indemnification
To the extent permitted by applicable law, you agree to hold us harmless from third-party claims to the extent such claims arise from your unlawful use of the products, your infringement of third-party intellectual-property rights, or false information you knowingly provided during ordering. This does not apply to your ordinary use of the products as a consumer, and it does not extend to anything for which we are responsible or which cannot be allocated to you under mandatory consumer-protection law.
12. Limitation Periods
The statutory limitation periods apply. In particular, the statutory 2-year warranty period from delivery applies to consumer goods, and statutory limitation periods for consumers are not shortened by these Terms.
13. Severability
If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions is unaffected. Any invalid provision is replaced by the applicable statutory rule; there is no gap-filling to your disadvantage as a consumer beyond what the law provides.
14. Amendments
We may amend these Terms for future orders. Any amendment applies only to orders placed after the amended Terms take effect; contracts already concluded remain governed by the version of the Terms in force when you placed your order. We will publish the current Terms on our website with a "Last Updated" date.
