1. Scope and Definitions

These Terms and Conditions ("Terms") govern the purchase, sale, and delivery of products from the Zellaforte brand (premium dietary supplements) through the online store at zellaforte.com.

OmniMed Global B.V. is exclusively responsible for direct shipment of orders within the EU/EEA and for payment processing on behalf of Anstalt für Zellforschung. When you place an order through zellaforte.com, you enter into a contract for the sale of goods where Anstalt für Zellforschung is the sole seller and brand owner.

1.2 Applicability

These Terms and Conditions apply exclusively to purchases made through the Zellaforte online store at zellaforte.com by Anstalt für Zellforschung. Zellaforte products are also available through licensed pharmacies in Germany, distributed by adequapharm GmbH. For products purchased through a pharmacy, the pharmacy acts as the independent seller. Zellaforte, Anstalt für Zellforschung, and OmniMed Global B.V. are not responsible for pricing, shipping, delivery, returns, or customer service for pharmacy purchases. Please direct any inquiries regarding pharmacy purchases to the respective pharmacy.

These Terms apply to all orders placed through the Shopify-hosted online store zellaforte.com. Any deviations from these Terms require written confirmation. In the event of conflicting provisions, the most recent version of these Terms as published on our website shall apply.

1.3 Consumer Rights Notice

These Terms do not restrict or exclude any statutory rights granted to you as a consumer under EU consumer protection laws. Where applicable, mandatory consumer protections under EU Directive 2011/83/EU (Consumer Rights Directive) shall prevail.

2. Contract Formation and Offer-Acceptance

2.1 Offer and Acceptance

The product descriptions, prices, and availability information published on zellaforte.com constitute an invitation to offer goods for sale ("Invitations to Treat"). Your placement of an order through the Shopify shopping cart and checkout process constitutes your binding offer to purchase the products specified in your cart.

Your offer becomes binding when you:

1. Add products to your shopping cart;
2. Review the order summary and terms;
3. Proceed to checkout;
4. Provide your delivery and payment information;
5. Explicitly place the order by clicking the "Complete Purchase" or equivalent button.

Binding Purchase Acknowledgment: By clicking the "Complete Purchase" or equivalent button during checkout, you acknowledge that you are entering into a binding contract that requires payment. This constitutes a "zahlungspflichtig bestellen" (order with obligation to pay) in accordance with EU and German e-commerce requirements.

2.2 Order Confirmation

We accept your order by sending you an order confirmation email to the address you provided during checkout. This confirmation email serves as acceptance of your offer and constitutes the conclusion of a binding sales contract. The contract is formed at the moment the confirmation email is sent.

2.3 Right to Refuse Orders

We reserve the right to refuse any order if:

• Products are no longer available;
• The order violates applicable law or our policies;
• You have a history of payment defaults or chargebacks;
• Delivery to your address is not possible.

In such cases, any payment received will be refunded in full without undue delay.

3. Prices and Payment

3.1 Currency and Pricing

All prices are displayed in EUR (Euros) and include the applicable value-added tax (VAT) for your jurisdiction. Prices are subject to change without notice; however, the price you pay shall be the price displayed in your shopping cart at the time you place your order.

3.2 Shipping and Additional Costs

Shipping costs are calculated during checkout based on your delivery address and are displayed before you complete your purchase. Any applicable customs duties, import taxes, or fees for deliveries outside the EU are your sole responsibility and are not included in the displayed price.

3.3 Accepted Payment Methods

We accept payments through the payment methods integrated into our Shopify store, including but not limited to:

• Credit and debit cards (Visa, Mastercard, American Express);
• Digital wallets (Apple Pay, Google Pay);
• Bank transfers and other payment gateways available through Shopify.

Payment Processors: Payments are processed through Shopify Payments (powered by Stripe), PayPal, and Klarna. Each payment processor operates under its own terms of service and privacy policy.

Payment processing is handled securely by OmniMed Global B.V. and our designated payment processors. By providing payment information, you authorize OmniMed Global B.V. and its payment processors to charge your account for the order amount.

3.4 Payment Terms

Payment is due upon order placement. Your order will not be processed or shipped until payment has been received and verified.

3.5 Pharmacy Distribution Channel

Zellaforte products are also available through licensed pharmacies in Germany via our distribution partner adequapharm GmbH. These Terms and Conditions apply exclusively to purchases made through the Zellaforte online store at zellaforte.com. Products purchased through pharmacies are subject to the respective pharmacy's own terms and conditions, and the pharmacy is solely responsible for order processing, delivery, returns, and customer service for such purchases. Neither Anstalt für Zellforschung nor OmniMed Global B.V. shall be liable for the performance of pharmacy sales transactions.

4. Shipping & Delivery

4.1 Delivery Area

We ship products to countries within the European Union and European Economic Area (EU/EEA). Standard delivery addresses must be within these regions.

4.2 Order Processing Time

Your order will be processed and prepared for shipment within 1-2 business days of order confirmation. Processing time does not include weekends or public holidays. Once your order ships, you will receive a tracking number via email.

4.3 Estimated Delivery Times

Delivery times vary by destination:

• Germany (domestic): 2-4 business days after dispatch
• Other EU/EEA countries: 5-10 business days after dispatch

These are estimated timeframes and are not guaranteed delivery dates. International shipments may experience delays due to customs processing or unforeseen circumstances. We are not liable for delays caused by circumstances beyond our reasonable control, including courier delays, customs procedures, or force majeure events.

4.4 Shipping Costs

Shipping costs are calculated based on your delivery location and are displayed in full at checkout before you complete your purchase. Costs vary by region within the EU/EEA and are clearly itemized in your order summary.

4.5 Shipping and Risk of Loss

Products are shipped at the cost and risk of OmniMed Global B.V. until delivery to your specified address. Once products are delivered to the address you specified during checkout, risk of loss transfers to you. We recommend inspecting products immediately upon receipt and raising any damage claims with the courier within the timeframe required by the carrier's terms.

4.6 Undeliverable Orders

If an order cannot be delivered to your specified address, OmniMed Global B.V. will attempt to contact you. If no alternative address is provided or delivery remains impossible, the order will be returned to our warehouse. You will be liable for return shipping costs, and a refund will be issued after deduction of reasonable return shipping expenses.

4.7 Track Your Order

Once your order has been dispatched, you will receive an email confirmation with a tracking number and carrier information. You can use this tracking number to monitor your shipment in real-time through the carrier's website.

4.8 Fulfillment Operations

Zellaforte's fulfillment and shipping operations are managed by OmniMed Global B.V., our logistics partner based at Krom Boomssloot 5, 1011GP Amsterdam, Netherlands (KvK: 98643908 | VAT: NL868582025B01). OmniMed handles warehousing, order picking, packing, and shipment of all orders. All products are sourced and authenticated by Anstalt für Zellforschung and shipped in accordance with the highest quality standards.

4.9 Pharmacy Purchases

Zellaforte products are also available through licensed pharmacies in Germany, distributed by adequapharm GmbH, Egellsstraße 21, 13507 Berlin. If you purchased a Zellaforte product through a pharmacy, the pharmacy is the seller and is solely responsible for shipping, delivery, returns, and customer service. The shipping terms, return policies, and delivery timelines described on this page apply only to orders placed through zellaforte.com. For pharmacy purchase inquiries, please contact the pharmacy where you made your purchase.

5. Right of Withdrawal (Statutory 14-Day Period)

5.1 Statutory Right of Withdrawal

In accordance with EU Directive 2011/83/EU (Consumer Rights Directive), you have the statutory right to withdraw from this contract within 14 calendar days of receiving the products without giving any reason, without incurring any penalty, except for the cost of return shipping.

The withdrawal period begins on the day you (or a third party designated by you, other than the carrier) physically receive the products.

5.2 How to Exercise Your Right of Withdrawal

You may use the model withdrawal form below, but it is not mandatory. Any clear statement of your intention to withdraw is sufficient. You must send your withdrawal notice before the end of the 14-day withdrawal period.

5.3 Obligations Upon Withdrawal

If you withdraw, you must return the products in the condition in which you received them, including all original packaging and documentation. Return shipping costs are your responsibility unless the withdrawal is due to our error or non-compliance with these Terms.

Products must be returned unused and in resalable condition. If you have used the product, we may deduct the value of the goods used from your refund, in accordance with applicable law.

5.4 Refund Processing

Upon receipt and inspection of the returned products, we will process your refund without undue delay and no later than 14 calendar days after receiving your withdrawal notice. Refunds will be issued to your original payment method. Please note that refunds may take 5-10 additional business days to appear in your account, depending on your financial institution.

5.5 Exceptions to the Right of Withdrawal

The statutory right of withdrawal does not apply to:

• Sealed health or hygiene products that have been opened after delivery (in accordance with EU consumer law, such products cannot be returned for hygienic reasons);
• Customized or personalized products made to your specifications;
• Products the value of which has been materially diminished by use or handling beyond normal testing.

6. Returns (Extended 30-Day Policy)

6.1 Our Commitment to Customer Satisfaction

Beyond the statutory 14-day withdrawal right, we voluntarily offer an extended 30-day return policy to all customers. This extended policy is a gesture of goodwill and is not a legal obligation but a commitment to your satisfaction.

6.2 Eligibility for Extended Returns

You may return products within 30 calendar days of delivery, provided:

• The product is in resalable condition (preferably unused and unopened);
• Original packaging with all documentation is included;
• The product has not been subjected to misuse or customer-caused damage.

Important: Opened or used items may still be eligible for return at our discretion. Please contact our support team before returning to discuss your specific situation.

6.3 How to Initiate a Return

To request a return, email support@zellaforte.de with:

• Your order number
• Reason for return
• Photos of the item(s) if possible (especially if damaged or defective)

Once your return is approved, we will provide you with return shipping instructions. Customers are responsible for return shipping costs, unless the return is due to:

• Damaged or defective items upon arrival
• Wrong items sent in error
• Items that do not match the product description

In these cases, we will provide a return shipping label at no cost to you.

6.4 Damaged or Defective Items

If your order arrives damaged or defective, or if you receive the wrong items, please contact us immediately at support@zellaforte.de with photographic evidence. We will arrange either a replacement shipment or a full refund at no cost to you, including return shipping. Damage claims must be reported within 14 days of delivery. Please retain packaging and unpack carefully to preserve evidence of damage.

6.5 Return Processing & Refunds

Upon receipt of your returned items at our fulfillment center, we will inspect the package and process your return within 5-7 business days. Once approved, refunds will be issued to your original payment method within 14 calendar days of our receipt of the returned goods. Please allow additional time for your bank or payment provider to process the refund (typically 3-5 business days depending on your financial institution).

7. Warranty and Liability

7.1 Statutory Warranty Rights

All products sold are subject to the EU Consumer Guarantee of Conformity. For a period of 2 years from delivery, we guarantee that products will be as described and fit for their ordinary purpose. If a product is defective or non-conforming, you may request:

• Repair of the product;
• Replacement of the product;
• A proportionate price reduction;
• Termination of the contract and refund.

These rights do not depend on whether the defect was apparent at the time of purchase.

7.2 How to Claim Warranty

To claim warranty coverage, contact support@zellaforte.de with evidence of the defect (photographs, detailed descriptions) and your proof of purchase. We will assess your claim and offer an appropriate remedy.

7.3 Limitation of Liability

To the extent permitted by law, Anstalt für Zellforschung and OmniMed Global B.V. are not liable for:

• Indirect, incidental, special, or consequential damages;
• Lost profits, loss of revenue, or loss of data;
• Damages arising from your use of products contrary to instructions or applicable laws;
• Third-party claims or interference.

Our total liability for any claim arising from these Terms or the purchase of products shall not exceed the purchase price of the product(s) in question.

7.4 Exclusions and Disclaimers

These limitations do not apply to:

• Deaths or personal injury caused by our negligence;
• Fraudulent misrepresentation;
• Breach of consumer protection laws;
• Any liability that cannot be excluded or limited under applicable law.

8. Product Information and Disclaimer

8.1 Product Classification

Zellaforte products are premium dietary supplements and nutritional products. These products are NOT medicines and are not intended to diagnose, treat, cure, mitigate, or prevent any disease or health condition.

8.2 Product Descriptions and Claims

Product descriptions, ingredient lists, usage instructions, and nutritional information are provided for informational purposes based on information available at the time of publication. We endeavor to ensure accuracy but do not warrant that all information is completely current or error-free.

8.3 Use of Products

Dietary supplements are intended to supplement the diet and should not be used as a substitute for a varied and balanced diet or healthy lifestyle. Before using any Zellaforte product, especially if you:

• Are pregnant or nursing;
• Have a medical condition or take prescription medications;
• Are allergic to any ingredients;
• Are under 18 years of age;

8.4 Regulatory Compliance

All products comply with applicable EU food and supplement regulations, including EC Regulation 1925/2006 and Regulation (EC) 1169/2011 (food labeling). Nutritional and health claims are made in accordance with Regulation (EC) 1924/2006 on health and nutritional claims made on foods.

9. Assumption of Risk

9.1 Acknowledgment

By purchasing and using Zellaforte products, you acknowledge and accept that:

• Dietary supplements carry inherent risks and may not be suitable for all individuals;
• You have read and understood the product information, usage instructions, ingredient lists, allergen information, and disclaimers provided on our website and product labels;
• You are solely responsible for verifying that Zellaforte products are suitable for your individual health status, medical conditions, allergies, and circumstances;
• You use Zellaforte products at your own risk and accept full responsibility for any consequences arising from their use.

9.2 Health Verification

You confirm that you have consulted, or have had the opportunity to consult, a qualified healthcare professional regarding the suitability of Zellaforte products for your individual needs, particularly if you fall into any of the risk categories identified in our product information (pregnancy, nursing, existing medical conditions, concurrent medications, allergies, or age under 18).

9.3 Third-Party Use

If you purchase Zellaforte products for use by another person, you accept responsibility for ensuring that the recipient is informed of the product information, disclaimers, allergen content, and usage instructions. You assume responsibility for any claims arising from the recipient's use of the products.

10. Intellectual Property Rights

10.1 Ownership of Content

All content on zellaforte.com, including text, images, logos, product designs, photographs, graphics, and original materials, is the intellectual property of Anstalt für Zellforschung or its licensors and is protected by international copyright and trademark laws.

10.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and view the content on our website for personal, non-commercial purposes only. You may not:

• Reproduce, distribute, or transmit any content without our written permission;
• Use our trademarks, logos, or brand names without authorization;
• Modify, adapt, or create derivative works from our content;
• Use automated tools (scrapers, bots) to download or extract data;
• Reverse engineer or attempt to discover proprietary processes.

10.3 Trademarks

"Zellaforte" and all associated logos and designs are registered trademarks of Anstalt für Zellforschung. Use of these marks without express written permission is prohibited.

11. Governing Law and Jurisdiction

11.1 Applicable Law

These Terms and Conditions, as well as all matters related to product information, brand rights, and content provided by Anstalt für Zellforschung, are governed by and construed in accordance with the laws of Liechtenstein, without regard to its conflicts of law principles.

All commercial aspects of the transaction, including order processing, payment, shipping, and delivery services provided by OmniMed Global B.V., are governed by the laws of the Netherlands.

Notwithstanding the above, the mandatory consumer protection laws of your country of residence shall apply if they provide greater protection than Liechtenstein or Dutch law.

11.2 Jurisdiction and Dispute Resolution

For consumers residing in the EU/EEA, you have the right to bring legal proceedings before the courts of your country of residence. You may also pursue disputes through the EU Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

For any other parties, disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Liechtenstein or the Netherlands (as applicable) and you consent to submit to such jurisdiction.

11.3 Mandatory Mediation Before Litigation

Before filing any legal claim or initiating court proceedings related to these Terms, the purchase, or the use of Zellaforte products, both parties agree to attempt resolution through the following mandatory steps:

1. Direct resolution: Contact support@zellaforte.de with a detailed description of the dispute. We will respond within 14 days and attempt to resolve the matter amicably.
2. Mediation: If the dispute is not resolved within 30 calendar days of the initial complaint, both parties agree to engage in mediation administered by a qualified mediator in Vaduz, Liechtenstein. The costs of mediation shall be shared equally between both parties.
3. Court proceedings: Only after mediation has been attempted and failed may either party pursue court proceedings as described in Section 11.2.

This mediation requirement does not limit your statutory right to file complaints with consumer protection authorities, the EU ODR platform, or regulatory agencies at any time.

12. Indemnification

12.1 Customer Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Anstalt für Zellforschung, OmniMed Global B.V., and their respective directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use or misuse of Zellaforte products contrary to product instructions, recommended dosage, or warnings;
• Your failure to consult a healthcare professional despite warnings provided in our product information, disclaimers, and allergen information;
• Any false, misleading, or incomplete information you provided during the ordering process;
• Your provision of Zellaforte products to third parties without ensuring they are informed of the product information, disclaimers, and allergen content;
• Your violation of these Terms and Conditions.

12.2 Limitations on Indemnification

This indemnification does not apply to claims arising from:

• Our own negligence, willful misconduct, or breach of mandatory consumer protection laws;
• Product defects that existed at the time of delivery;
• Our failure to comply with applicable food safety regulations;
• Any liability that cannot be excluded under the mandatory consumer protection laws of your country of residence.

13. Limitation Period for Claims

13.1 Claims Window

Any claim arising from or related to these Terms, the purchase, or the use of Zellaforte products must be raised in writing within 12 months of the event giving rise to the claim. You must notify Zellaforte at support@zellaforte.de within 30 calendar days of discovering the issue. Failure to provide timely notice may result in the claim being barred.

13.2 Exceptions

This limitation period does not apply to:

• Statutory warranty rights under the EU Consumer Guarantee of Conformity (2-year period from delivery);
• Claims for personal injury or death caused by our negligence;
• Claims that cannot be time-limited under the mandatory consumer protection laws of your country of residence;
• Fraud or intentional misrepresentation.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be replaced with a valid and enforceable provision that comes as close as possible to the economic intent and purpose of the invalid provision. The invalidity of any individual provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

If a provision is found to be invalid due to its scope or extent, it shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and shall be enforced as so modified.

15. Amendments to Terms

15.1 Right to Modify

We reserve the right to amend these Terms at any time. Amendments become effective upon publication on our website. Your continued use of zellaforte.com following publication of amendments constitutes your acceptance of the modified Terms.

15.2 Material Changes

If we make material changes to these Terms (e.g., significant changes to return policies, liability limitations, or fees), we will provide you with notice via email or prominent notice on our website at least 14 days before the changes take effect. If you do not accept the amended Terms, you have the right to cancel any outstanding orders.
